Business identity

Cyax Software is a DBA of Phillip Cazella Consulting. Mailing address: 2471 North Naglee Road, Suite 100 #1054, Tracy, CA 95304. D-U-N-S® Number: 144886254. In these Terms, “Cyax Software,” “we,” “us,” and “our” refer to Phillip Cazella Consulting doing business as Cyax Software.

These Terms govern your use of cyaxsoftware.com and the general terms under which Cyax Software may provide business-process automation, technology help, managed websites, and related project work. A proposal, order form, or other written service agreement accepted by you may include additional terms. If it conflicts with these Terms, the specific written agreement controls for that service.

Website information and inquiries

The information on this website is provided for general informational purposes and does not create a service relationship by itself. Sending an inquiry does not obligate you to purchase or Cyax Software to accept a project.

Automation and technology services

Cyax Software may help evaluate business processes, configure or connect technology, build automation workflows, assist with software and technology projects, or provide related practical technology help. The specific scope, deliverables, timeline, price, and any ongoing support will be agreed before work begins.

Technology and automation are tools, not substitutes for your business judgment. You are responsible for reviewing work and outputs as appropriate for your business, approving decisions, handling exceptions, and confirming that any workflow is suitable before relying on it in your operations.

Some work may depend on third-party software, accounts, integrations, or AI services. Their availability, capabilities, pricing, and terms may change independently of Cyax Software. We will discuss meaningful third-party requirements or costs before including them in an agreed scope when practical.

Managed website service

The standard service is offered at $49 per month with no large upfront website-development fee and no minimum term. It generally includes design and development of a business website, a custom domain that you own, hosting, HTTPS, mobile-friendly design, basic search-engine setup, up to 10 email aliases that forward messages to an email inbox you designate, a contact form that sends submission notifications to you by email, basic Google Business Profile connection, maintenance, and minor content updates. Email aliases are forwarding addresses and are not separate hosted email inboxes.

Final scope, launch timing, domain availability, and any business-specific requirements will be confirmed before service begins. Taxes, third-party fees, or services outside the standard scope may be charged separately when disclosed and agreed in advance.

Minor updates and project work

Minor managed-website updates include reasonable changes to existing text, hours, contact details, prices, services, images, staff information, and links. New pages, major redesigns, e-commerce, booking systems, custom applications, third-party integrations, substantial workflow changes, or significant new functionality are separate project work and may require a written quote.

Your responsibilities

You are responsible for providing accurate business information, process details, and instructions; reviewing work before approval; maintaining the permissions needed to connect or configure your systems; and having the right to use any text, data, trademarks, logos, photographs, or other material you supply. You are also responsible for notifying us when important information changes. You may not use the service for unlawful, deceptive, infringing, abusive, or harmful activity.

Client materials, domains, and managed websites

Your business domain belongs to you, even if Cyax Software registers or manages it while you subscribe. You retain ownership of your business name, logo, original content, and materials you provide.

Unless a separate written agreement says otherwise, the code, reusable components, configuration, workflow design, and service infrastructure used to provide a project or subscription remain part of the service. A subscription does not automatically transfer ownership of the underlying website code or service infrastructure.

Website concepts and demonstrations

Cyax Software may create clearly labeled demonstration websites using factual information available from public sources. A concept site is not an official website, endorsement, or representation that the featured business is a customer. We will consider reasonable correction or removal requests sent to info@cyaxsoftware.com.

Payment

Managed website subscription fees are billed monthly according to the payment arrangement presented when you enroll. Automation, technology, and other project work are billed according to the scope or payment arrangement agreed for that work. You authorize the agreed payment method to be charged while a subscription or agreed service remains active. If payment is overdue, we may pause work or suspend a hosted website after reasonable notice.

Cancellation

You may cancel the standard managed website service without a minimum-term commitment. Unless otherwise agreed, service continues through the paid billing period and the managed website is then taken offline. Your domain remains yours and can be transferred. We will provide reasonable cooperation with a domain transfer, but rebuilding or migrating the website itself is not included unless agreed separately. Cancellation or changes to project work are governed by the scope or written agreement for that project.

Availability and changes

We aim to keep managed websites and agreed services reliable and secure, but cannot promise uninterrupted or error-free availability. Maintenance, provider outages, internet failures, security incidents, changes to third-party services, and events outside our reasonable control may affect service. We may make reasonable technical changes needed to maintain security, performance, or compatibility.

No performance guarantee

Automation and technology can make work easier, but results depend on your business processes, source information, staff review, third-party services, and other factors. A website can support credibility and make it easier for customers to contact you, but results also depend on demand, competition, reviews, advertising, search engines, and other factors. We do not guarantee that any workflow will be error-free or suitable for every exception, or guarantee search rankings, traffic, leads, revenue, savings, or a particular business result.

Disclaimer and limitation of liability

To the fullest extent permitted by law, the website and services are provided without warranties not expressly stated in a written agreement. Cyax Software will not be liable for indirect, incidental, special, consequential, or lost-profit damages. Our total liability arising from a service will not exceed the fees you paid for that service during the three months before the event giving rise to the claim. Some jurisdictions do not allow certain exclusions, so these limits may not apply to you.

Ending service for misuse

We may suspend or end service for unlawful use, infringement, abuse, security threats, repeated nonpayment, or a material breach of these Terms. When practical, we will provide notice and an opportunity to correct the problem.

Changes to these Terms

We may update these Terms as the service evolves. Changes apply prospectively from the updated date shown above. Material changes affecting active customers will be communicated through a reasonable method.
